Modine completed a $946.4 million tax-free spin-off of Performance Technologies, merging it with Gentherm. Shareholders received 0.44619 Gentherm shares per Modine share, leaving Modine with a 43.62% stake. Modine received a $156 million cash distribution intended for debt repayment. Shares fell 3.81% to $182.00 as the company pivots to data center cooling and HVAC. The company plans to rename itself Modexus Solutions within three months.
