NDL Ventures Limited equity shareholders approved the Scheme of Merger by Absorption of Hinduja Leyland Finance Limited (HLFL) into NDL Ventures at an NCLT-convened meeting on July 30, 2026, with an Appointed Date of April 01, 2026. Out of 63,49,918 total votes polled, 63,49,888 votes (99.9995%) were cast in favour and only 30 votes were cast against the resolution. Public institutional shareholders polled 17,92,388 votes, all in favour, while public non-institutional shareholders polled 45,57,530 votes with 45,57,500 in favour. The resolution was confirmed as duly passed with requisite majority by Scrutinizer CS Pranay Vaidya in his report dated July 30, 2026.
